These terms govern your use of the Minima website, applications, and developer API (together, the "Service") operated by Minima Technologies, Inc. ("Minima," "we," or "us"). By creating an account or otherwise using the Service, you agree to these terms. Read them — they describe what we promise, what we do not, and what we expect from you in return.

These terms incorporate by reference our Privacy Policy, our Data Use page, and our Security page. Together, these documents make up the entire agreement between you and Minima Technologies, Inc. for the Service. Where a topic is addressed in more than one document, the more specific document controls for that topic.

Acceptance

Eligibility and acceptance

You may use the Service only if you can form a binding contract with Minima and only in compliance with these terms and all applicable law. If you are agreeing to these terms on behalf of an organization, you confirm that you have authority to bind that organization.

The Service is offered to people aged 16 or older in the EEA and the United Kingdom, and 13 or older elsewhere. If you do not meet the applicable age threshold, do not use the Service.

The Service

What Minima provides

Minima is a creative platform for authoring audiovisual work through knobs, node graphs, code, and conversations with AI. The Service includes the web client, optional desktop and mobile clients, the developer API, and the supporting cloud infrastructure that runs renders and agents.

We work to keep the Service available and useful, but features change as we improve the product. We may add, modify, or remove features over time. We will give reasonable notice for changes that materially reduce a paid plan's functionality.

Accounts

Your account and authentication

You need an account to use most of the Service. You can sign in with email plus a passkey or password, or with a supported OAuth provider (Google, Apple, GitHub).

You are responsible for the security of your account credentials and API keys, for the activity that happens under your account, and for promptly notifying us if you believe your account has been compromised. You agree to give accurate sign-up information and to keep it current.

Organization administrators may manage members within their organization, including provisioning, role assignment, and removal. If you are a member of an organization, your activity within that organization may be visible to administrators.

Your content

Ownership and license

You own your content. Minima does not claim ownership of the sketches, code, files, prompts, conversations, and rendered artifacts you create with the Service.

To run the Service, you grant Minima a worldwide, non-exclusive, royalty-free license to host, store, transmit, render, display, and create technical copies of your content for the sole purpose of operating the Service for you and the people you share with. This license ends when you delete the content or the account, subject to any retention required by law and to backup rotation lag described in the Privacy Policy.

Use of your content to train AI models is a separate, opt-in activity governed by the Data Use page, not by this license. We do not need a training license to operate the Service, and we do not take one by default.

You are responsible for your content. You confirm that you have the rights necessary to upload it and to grant the operating license above, and that your content does not violate any law or anyone else's rights.

Acceptable use

What you may not do with the Service

You agree not to use the Service to:

  • Violate any law, regulation, or third-party rights.
  • Infringe copyright, trademark, trade secrets, publicity rights, or privacy rights of others.
  • Generate or distribute content that sexualizes minors, incites violence, or otherwise causes serious harm.
  • Distribute malware, attempt to compromise the Service, or interfere with other users.
  • Scrape, mass-download, or systematically copy the Service or other users' content beyond what the API and product UI permit.
  • Reverse engineer the Service to circumvent rate limits, billing, or access controls, except where law expressly allows.
  • Misrepresent your identity, your affiliation, or the source of AI-generated content in a way that is intended to deceive.
  • Resell, sublicense, or rebrand the Service without our written permission.
AI features

Working with AI on Minima

You are talking to an AI. Minima's chat surface and agents are powered by large language models. Outputs are generated, not authored, and they may be wrong, outdated, or unsuitable for a given purpose.

Minima does not own AI outputs you generate, but neither do we guarantee that they are free of third-party rights. Treat AI outputs the way you would treat any source material: review, revise, and confirm rights before publication or commercial use.

Where Minima renders audio, image, or video that was produced or meaningfully shaped by AI, we mark the output as artificially generated using C2PA-style provenance metadata. You agree not to strip this metadata to deceive recipients.

You are responsible for your prompts and for the use you make of AI outputs, including compliance with the acceptable-use rules above and with applicable AI regulations.

Billing

Subscriptions, credits, and payments

Some features require a paid plan or usage credits. Plan terms, prices, and included usage are described on the pricing page and at checkout. By subscribing, you authorize Minima and our payment processor, Stripe, to charge the payment method on file for the recurring subscription fee and any usage above your plan's allowance.

Credits purchased for the developer API are pre-paid and consumed by API usage. Unused credits expire 12 months after purchase unless we say otherwise at checkout. Credits are non-refundable except where required by law.

Subscription fees are non-refundable for the period in which they were paid, except where required by law. You can cancel a paid plan at any time; cancellation takes effect at the end of the current billing period.

Prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes that apply to your purchase.

We may change prices and plan structures with reasonable notice. Changes will not apply retroactively to a billing period that has already started.

API

Developer API and API keys

The Minima developer API is offered under these terms plus any additional rate limits, quotas, and technical requirements we publish. API keys are credentials. Treat them as you would treat a password.

You are responsible for keeping API keys confidential and for any activity performed with them. If a key is exposed, rotate it from your account dashboard. We may revoke keys that we believe have been compromised or used to abuse the Service.

We may apply reasonable rate limits and abuse protections. Where possible, we will document them; where they are dynamic, we will respond fairly to reports of incorrect throttling.

Integrations

Third-party services and storage

Minima can connect to third-party services such as iCloud, Dropbox, Proton Drive, and external AI providers. Those services have their own terms and privacy notices, and you are responsible for complying with them.

When you grant Minima access to a third-party storage provider, Minima acts as a processor of the content you choose to import. That content remains yours and remains subject to the third party's terms; importing it into Minima does not transfer ownership.

Termination

Ending the agreement

You can terminate your account at any time by deleting it from account settings or by emailing us. Termination does not entitle you to a refund of fees already paid, except where required by law.

We may suspend or terminate accounts that violate these terms, that pose a security or legal risk, or that are used for activity we reasonably believe is harmful. Where practical and not prohibited by law, we will give notice and an opportunity to cure.

On termination, your right to use the Service ends and we will delete your account data subject to the retention windows described in the Privacy Policy. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, governing law) will survive.

Disclaimers

Warranties, liability, and indemnity

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Minima disclaims all warranties — express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, error-free, or fit for any particular creative or commercial outcome.

Limitation of liability. To the fullest extent permitted by law, Minima's total liability arising out of or relating to these terms or the Service will not exceed the greater of (a) the fees you paid Minima in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars. Minima is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or goodwill, even if advised of the possibility. Nothing in these terms limits liability that cannot be limited under applicable law.

Indemnity. You agree to defend and indemnify Minima against third-party claims arising out of your content, your use of the Service in violation of these terms, or your violation of law or third-party rights, to the extent permitted by applicable law.

Changes

Updates to these terms

We may update these terms from time to time. Material changes will be announced in the product and by email at least 30 days before they take effect. If you continue to use the Service after a change takes effect, you accept the updated terms; if you do not, you can terminate your account.

Law

Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you and Minima consent to the personal jurisdiction of those courts. Where you have mandatory consumer protections under local law, this clause does not override them.

If any provision of these terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later.
